These Terms and Conditions ("Agreement") govern the relationship between Mellows Talent Agency, located and the talent, herein referred to as the "Client", engaging the services of the Agency.

1. Representation

1.1 The Agency agrees to represent the Client for the purposes of securing opportunities, engagements, and contracts within the entertainment industry, including but not limited to acting, modeling, music, and related fields.

1.2 The Client agrees to grant the Agency exclusive rights to represent them for the duration of this Agreement.

2. Obligations of the Agency

2.1 The Agency agrees to actively promote and market the Client to potential employers, casting directors, producers, and other industry professionals.

2.2 The Agency will negotiate on behalf of the Client for fair and reasonable compensation for any engagements secured.

2.3 The Agency will provide guidance and support to the Client in matters relating to their career development, including but not limited to auditions, portfolio development, and professional conduct.

3. Obligations of the Client

3.1 The Client agrees to inform the Agency of any conflicts of interest or existing contracts that may affect their availability for potential engagements.

3.2 The Client agrees to conduct themselves in a professional manner at all times, both during engagements secured through the Agency and in their personal and public interactions.

3.3 The Client agrees to promptly inform the Agency of any changes to their contact information, availability, or personal circumstances that may affect their representation.

4. Fees and Commission

4.1 The Agency will be entitled to a commission on all earnings derived by the Client from engagements secured through the Agency's efforts. The commission percentage shall be as agreed upon between the Agency and the Client and outlined in a separate commission agreement.

4.2 The Agency may also charge additional fees for specific services rendered, such as portfolio development, headshot sessions, or marketing materials. These fees will be discussed with the Client in advance and agreed upon in writing.

5. Duration and Termination

5.1 This Agreement shall commence on the date of signing and shall remain in effect for a period of [duration], unless terminated earlier as provided herein.

5.2 Either party may terminate this Agreement upon [notice period] days' written notice to the other party.

5.3 Upon termination of this Agreement, the Agency's exclusive representation of the Client shall cease, but any commissions owed to the Agency for engagements secured prior to termination shall remain payable.
